1. Service description

ChannelHawk AI ("ChannelHawk", "we", "us") provides an AI-powered e-commerce analytics platform that connects to your Shopify, Amazon SP-API, and QuickBooks Online accounts, ingests order, product, inventory, and financial data, and surfaces insights through dashboards, reports, and AI-generated analysis ("the Service").

2. Read-only platform

ChannelHawk operates as a read-only observer of your commerce data in all integrations by default. We request only the minimum API scopes required to read the data necessary for analytics.

The sole exception is the Amazon Messaging API, which permits write-back actions (e.g., sending buyer-seller messages). This capability is available in the platform but is only executed after explicit human approval in the application UI. No automated write actions occur without your confirmed intent.

3. Account eligibility

You must be at least 18 years of age and have authority to bind your business to these Terms. By accepting, you represent that you meet these requirements and that all information you provide is accurate and current.

4. Multi-tenancy and data isolation

Each ChannelHawk client operates in a fully isolated database. There is no shared schema, no cross-tenant queries, and no mechanism by which one client's data is accessible to another. Tenant isolation is enforced at the infrastructure level, not only at the application layer.

5. Acceptable use

You agree not to:

• Reverse-engineer, decompile, or attempt to extract source code from the Service
• Share your account credentials with unauthorized users or resell access to the Service
• Use the Service to scrape, aggregate, or redistribute third-party marketplace data in violation of Shopify's, Amazon's, or Intuit's developer policies
• Attempt to probe or exploit vulnerabilities in the platform's infrastructure
• Use the Service in any way that violates applicable laws or regulations

6. Your data

You own your data. ChannelHawk does not claim any rights to the commerce data ingested from your connected platforms. We act as a processor on your behalf (see our Data Processing Agreement).

• Export: You may request a full export of your data at any time by contacting hello@channelhawk.ai.
• Deletion: Upon cancellation of your subscription, all tenant data is permanently deleted within 30 days. Deletion certificates are available upon request.

7. Subscriptions and billing

Subscription fees are billed in advance on a monthly or annual basis as stated at the time of purchase. All fees are non-refundable except where required by applicable law. ChannelHawk reserves the right to change pricing with 30 days' written notice to active subscribers.

8. Uptime and third-party APIs

ChannelHawk targets 99.5% monthly uptime for the application layer and will communicate planned maintenance in advance. However, the Service depends on third-party APIs (Shopify, Amazon, QuickBooks, Anthropic). We provide no warranty regarding the availability, accuracy, or continuity of data provided by these external services. Outages or policy changes by third-party platforms are outside our control.

9. Limitation of liability

To the maximum extent permitted by applicable law, ChannelHawk's total liability to you for any claim arising from or related to the Service shall not exceed the fees paid by you in the 12 months preceding the claim. In no event shall ChannelHawk be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or loss of data, even if advised of the possibility of such damages.

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Intellectual property

All software, designs, trademarks, and content comprising the ChannelHawk platform remain the sole property of ChannelHawk AI. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service during your subscription.

11. Termination

Either party may terminate the subscription at any time. ChannelHawk may suspend or terminate your access immediately for material breach of these Terms, non-payment, or conduct that poses a security risk to the platform or other users. Upon termination, your right to access the Service ceases immediately.

12. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. If you are located in the EU or UK and applicable law grants you rights that cannot be waived by contract, those rights are not affected by this clause.

13. Changes to these Terms

We may update these Terms from time to time. We will notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
